Rockower Brothers Inc., merchandisers of men's and boys’ apparel, announced yesterday that its directors at a special meeting had adopted a resolution recommending that the company be dissolved voluntarily.
Rockower said a special meeting of shareholders would be held to consider approval of the resolution and the adoption of a complete liquidation of the company in November.
The company said that shareholders would be asked to approve the agreement between Rockower and F.W. Woolworth made in March that calls for termination of Rockower's 147 Woolco men's and boys’ departments on July 31, 1980, and for the purchase by Woolworth of Rockower's store fixtures and inventory. In addition, Woolworth will pay Rockower $7 million shortly after the 1980 closing.
Rockower also said its directors had received a proposal for a Rockower unit to make a $12.5 million investment in a newly organized corporation that intends to develop jointly with an unaffiliated company a 600‐room hotelcasino in Atlantic City. Rockower said its board was considering the proposed investment.
